Terms of Service

These Terms of Service ("Terms") govern your use of the InnConnect platform provided by InnTelligence B.V. (KvK: 94901708, BTW: NL866930450B01). By creating an account or using our services, you agree to these Terms.
1. Definitions
- Service — the InnConnect AI-powered customer support platform, including the admin portal, chat widget, API, and all related features.
- Tenant — an organisation that has registered an account on the Service.
- User — any person with access to a Tenant's admin portal (administrators, agents, viewers).
- End User — a visitor or customer who interacts with a chatbot powered by the Service.
- Widget — the embeddable chat interface placed on a Tenant's website.
- Knowledge Base — the collection of articles, documents, and data a Tenant provides to train their chatbot.
- Credits — the prepaid units used to access AI-powered features of the Service.
2. Service Description
InnConnect provides an AI-powered customer support chatbot as a service (SaaS). Tenants can configure chatbots, build a knowledge base, manage customer conversations, and integrate the widget into their websites.
The Service uses artificial intelligence from third-party providers to generate responses based on the Tenant's knowledge base. AI responses are generated automatically but are shaped by content provided by the Tenant.
3. Account & Access
By registering an account, you agree to:
- Provide accurate and complete registration information
- Keep your login credentials secure and confidential
- Be responsible for all activity under your account
- Notify us immediately of any unauthorised access to your account
4. Credits & Payments
The Service operates on a prepaid credit system:
- Credits are purchased in advance through the admin portal via our payment provider
- Credits are consumed when using AI-powered features (research, article generation, chat responses)
- Credit prices and consumption rates are displayed in the admin portal and may be adjusted with 30 days' notice
- Unused credits remain valid for the lifetime of the account. Refunds for unused credits are not provided unless required by law.
5. Acceptable Use
You agree not to use the Service to:
- Upload, transmit, or store illegal, harmful, or discriminatory content
- Impersonate any person or entity, or misrepresent your affiliation
- Attempt to reverse engineer, decompile, or extract the source code of the Service
- Interfere with or disrupt the Service, servers, or networks
- Use the Service to send unsolicited messages (spam) or for any purpose not intended by the Service
6. Data Processing
We process personal data in accordance with our Privacy Policy. As a Tenant, you act as the data controller for End User data processed through your chatbot. InnTelligence B.V. acts as the data processor.
A Data Processing Agreement (DPA) in accordance with Art. 28 GDPR is available upon request.
7. Intellectual Property
All intellectual property rights in the Service (including software, design, trademarks, and documentation) belong to InnTelligence B.V. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Service.
You retain ownership of all content you upload to the Service (knowledge base articles, documents, configuration). We claim no ownership over your content.
8. Availability & Maintenance
We strive to maintain the Service at a high level of availability. However, we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control.
We will make reasonable efforts to notify Tenants in advance of planned maintenance that may impact availability. Custom SLA agreements are available for enterprise customers upon request.
9. Limitation of Liability
To the maximum extent permitted by law, InnTelligence B.V. shall not be liable for:
- Indirect, incidental, special, or consequential damages (including lost profits, lost data, or business interruption)
- The accuracy, completeness, or appropriateness of AI-generated responses
- Damages resulting from third-party services, including AI providers and payment processors
Our total cumulative liability for any claims arising from these Terms shall not exceed the amount you have paid to us in the 12 months preceding the claim.
10. Termination
Either party may terminate the agreement:
- You may cancel your account at any time through the admin portal or by contacting us
- We may suspend or terminate your account if you breach these Terms, after providing reasonable notice where possible
- We may discontinue the Service with at least 90 days' notice
Upon termination, you will have 30 days to export your data. After this period, your data will be deleted in accordance with our retention policy.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or notification in the admin portal at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
12. Governing Law
These Terms are governed by the laws of the Netherlands. Any disputes arising from these Terms shall be submitted to the competent court in Utrecht, the Netherlands.
